Provider Service Agreement

1. Parties

This Provider Service Agreement ("Agreement") is entered into between Tourist SOS, Inc., a Delaware corporation ("Tourist SOS," "Company," "we"), and the healthcare provider or facility creating an account on the GreenLight platform ("Provider," "you"). By creating an account, using any Service, or digitally signing this Agreement, Provider agrees to all terms herein.

2. Scope of Services

Tourist SOS provides the following services through the GreenLight platform:

  • Real-time verification of U.S. insurance eligibility and benefits
  • Electronic submission of medical claims to U.S. insurance payers
  • Collection and disbursement of insurance payments
  • Denial management and appeal handling (Full Service tier)
  • Billing guidance and case management (Full Service tier)

The specific services available to Provider depend on the pricing tier selected. Current tiers and fees are published on the GreenLight Pricing page and are incorporated by reference into this Agreement.

3. NPI Authorization and Billing Agency

Provider hereby authorizes Tourist SOS to submit claims to U.S. insurance payers on Provider's behalf using the National Provider Identifier (NPI) registered to Tourist SOS, Inc. Provider acknowledges and agrees that:

  • Tourist SOS acts solely as a billing agent and does not render, supervise, or direct medical services
  • Claims are submitted under Tourist SOS' NPI as the billing entity; Provider remains the rendering provider
  • Insurance payments are remitted directly to Tourist SOS as the billing entity of record
  • This authorization does not create an employment, partnership, or joint venture relationship between the parties
  • Tourist SOS will identify Provider as the rendering provider on all claims and will not misrepresent services rendered
  • Provider retains full clinical responsibility for all services delivered to patients

This authorization remains in effect for the duration of this Agreement. Provider may revoke this authorization by terminating this Agreement per Section 12.

4. Assignment of Benefits

Provider assigns to Tourist SOS the right to receive insurance payments for claims submitted through the GreenLight platform. This assignment includes:

  • The right to receive, deposit, and hold payments from U.S. insurance payers
  • The right to deduct applicable fees before disbursement to Provider
  • The right to correspond with payers regarding claim status, denials, and appeals

This assignment is limited to claims processed through the Service and does not affect Provider's rights to bill patients or other payers directly for services not processed through Verify.

5. Fee Schedule

Provider agrees to the following fee structure based on the selected plan:

  • Eligibility verification — per-check fee or included in plan allowance, as specified in the selected tier
  • Claim submission fee — $50.00 USD per claim submitted, deducted from collections
  • Processing fee — percentage of amounts collected from insurance payers, as specified in the selected tier (5% for Hybrid; 15-25% for Full Service, as individually negotiated)
  • Subscription fee — monthly fee where applicable ($29.99 for Hybrid), billed to payment method on file

All fees are non-refundable once charged or deducted. Claim submission fees are non-refundable regardless of claim outcome. Tourist SOS will provide at least 30 days' written notice of any fee changes. Material changes to fees require Provider consent.

6. Payment and Disbursement

Insurance collections are disbursed monthly via international wire transfer to the bank account designated by Provider. Disbursements are subject to:

  • Deduction of all applicable fees (submission, processing, subscription)
  • Minimum payout threshold: $500 USD (Hybrid) or $2,000 USD (Full Service)
  • Successful verification of Provider's banking information
  • Compliance with all terms of this Agreement

Balances below the minimum payout threshold carry over to the following month. International wire transfer fees are borne by the receiving party. Tourist SOS is not responsible for delays caused by banking institutions or currency conversion. Unclaimed balances after 12 months of account inactivity may be subject to escheatment under applicable law.

7. Provider Responsibilities

Provider represents, warrants, and agrees to:

  • Be a duly licensed and authorized healthcare provider in their jurisdiction of practice
  • Provide accurate, complete, and truthful patient, clinical, and facility information for all claims
  • Maintain medical records supporting all claims for a minimum of 7 years
  • Comply with all applicable laws and regulations in their jurisdiction
  • Obtain all required patient consents for insurance billing and data transmission
  • Promptly notify Tourist SOS of any changes to facility information, licensing, or banking details
  • Not submit fraudulent, false, misleading, or upcoded claims
  • Not use the Service for claims related to services not actually rendered
  • Cooperate with any audit, investigation, or inquiry by insurance payers or regulatory authorities

8. Claim Denials and Appeals

Tourist SOS does not guarantee that claims will be paid by insurance payers. Coverage decisions are made solely by the payers. In the event of a claim denial:

  • Hybrid plan — Provider is notified of the denial reason and may request resubmission through the platform. Provider is responsible for providing additional documentation if required.
  • Full Service plan — Tourist SOS will manage the denial and appeal process on Provider's behalf, including follow-up with payers, additional documentation requests, and resubmission where appropriate. Appeals are pursued at Tourist SOS' discretion based on likelihood of success.

Claim submission fees are non-refundable regardless of claim outcome. Processing fees are only charged on amounts actually collected.

9. Indemnification

Provider indemnifies Tourist SOS: Provider agrees to indemnify, defend, and hold harmless Tourist SOS, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Fraudulent, false, or misleading claims submitted by Provider
  • Inaccurate patient or clinical information provided by Provider
  • Provider's failure to maintain proper licensure or authorization
  • Provider's violation of any applicable law or regulation
  • Any malpractice, negligence, or misconduct by Provider in the delivery of healthcare services

Tourist SOS indemnifies Provider: Tourist SOS agrees to indemnify and hold harmless Provider from claims arising solely from Tourist SOS' negligence in transmitting claims data or material errors in the billing process attributable to Tourist SOS.

10. Confidentiality and Data Protection

Both parties agree to maintain the confidentiality of all non-public information exchanged under this Agreement. Tourist SOS will handle patient data in accordance with its Privacy Policy, the attached HIPAA Business Associate Agreement, and applicable data protection laws.

Provider acknowledges that:

  • Patient data is transmitted to U.S. insurance payers and clearinghouses as necessary to process claims
  • Data is stored on servers located in the United States and processed by U.S.-based subcontractors
  • Tourist SOS retains billing records for a minimum of 7 years as required by industry standards
  • Breach notification will be provided within 72 hours of discovering a data security incident affecting Provider's data

11. Limitation of Liability

Tourist SOS' total aggregate liability under this Agreement shall not exceed the total fees paid by or deducted from Provider in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Tourist SOS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of revenue from unpaid claims, loss of patients, reputational harm, or business interruption, regardless of the theory of liability.

Tourist SOS is not liable for: claim denials by insurance payers; payment delays by insurance payers or banking institutions; inaccurate eligibility information provided by payers; or Provider's reliance on eligibility results for clinical decisions.

12. Term and Termination

This Agreement is effective upon Provider's acceptance and remains in effect until terminated. Either party may terminate with 30 days' written notice. Upon termination:

  • Pending claims will continue to be processed through completion
  • Outstanding balances will be disbursed within 60 days of termination, less applicable fees
  • Provider's access to the Service will be suspended at the end of the notice period
  • Tourist SOS will retain billing records as required by law and industry standards

Tourist SOS reserves the right to terminate immediately and without notice for: breach of this Agreement; suspected fraudulent activity; violation of applicable law; or failure to cooperate with an audit or investigation. In the event of immediate termination for cause, Tourist SOS may withhold disbursement pending resolution of any investigation.

13. Dispute Resolution

Any dispute arising under this Agreement shall first be addressed through good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Delaware, United States, and judgment on the award may be entered in any court of competent jurisdiction.

Each party bears its own costs and attorney fees unless the arbitrator determines that a party's claims or defenses were frivolous, in which case the prevailing party may recover reasonable attorney fees.

14. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.

15. Amendments

Tourist SOS may amend this Agreement with 30 days' written notice. Continued use of the Service after the effective date of changes constitutes acceptance. Material changes to the fee schedule or NPI authorization require affirmative consent from Provider. Previous versions of this Agreement are maintained on file and available upon request.

16. Severability

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and HIPAA Business Associate Agreement, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements, understandings, and representations.
