Terms of Service

1. Agreement to Terms
By accessing or using the GreenLight platform ("Service") operated by Tourist SOS, Inc. ("Company," "we," "us"), you ("Provider," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms incorporate by reference the Provider Service Agreement, HIPAA Business Associate Agreement, Privacy Policy, and any plan-specific terms applicable to your account.
2. Description of Service
Verify is a platform that enables international healthcare providers to verify U.S. insurance eligibility for patients, submit claims to U.S. insurance payers, and manage the billing process for services rendered to U.S.-insured individuals traveling abroad. The Service is provided on a per-transaction and subscription basis as described on our Pricing page.
3. Eligibility
To use the Service, you represent and warrant that:
- You are a licensed healthcare provider or operate a licensed healthcare facility in your jurisdiction
- You have the legal authority to bind your organization to these Terms
- You are at least 18 years of age
- The information you provide during registration is accurate, complete, and current
- Your use of the Service does not violate any applicable law or regulation in your jurisdiction
4. Account Registration and Security
To use the Service, you must create an account and provide accurate, complete information about yourself and your healthcare facility. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or use
- Ensuring that each user on your account is authorized by your organization
We reserve the right to suspend or terminate accounts with inaccurate information or suspected unauthorized access.
5. Fees, Payment, and Billing
The Service is offered under multiple pricing tiers. Current fees are published on our Pricing page and may be updated with 30 days written notice.
Eligibility checks are billed per transaction or included in your plan allowance. Claim submissions are billed at a flat rate per claim. Processing fees are calculated as a percentage of amounts collected from insurance payers on your behalf.
Processing fees and claim submission fees are deducted from insurance collections before disbursement to you. Subscription fees, where applicable, are billed monthly to the payment method on file. Failure to maintain a valid payment method may result in suspension of your account.
All fees are in U.S. Dollars (USD). You are responsible for any taxes, duties, or government levies applicable in your jurisdiction.
6. Disbursements
Funds collected from insurance payers are disbursed to you monthly via international wire transfer, subject to the minimum payout threshold specified in your plan. Balances below the minimum threshold roll over to the following month.
Wire transfer fees are borne by the receiving party. Tourist SOS makes reasonable efforts to disburse funds promptly but is not liable for delays caused by banking institutions, currency conversion, or regulatory holds.
7. Claim Submissions and Provider Obligations
Claims are submitted to U.S. insurance payers using the National Provider Identifier (NPI) registered to Tourist SOS, Inc. You authorize us to submit claims on your behalf and to receive payment from insurance payers for those claims, as detailed in the Provider Service Agreement.
You are solely responsible for:
- The accuracy of all clinical and patient information provided
- Ensuring that all billed services were actually rendered
- Using correct diagnosis (ICD-10) and procedure (CPT/HCPCS) codes
- Obtaining necessary patient consents and authorizations
- Complying with all applicable laws and regulations in your jurisdiction
Submitting false, fraudulent, or intentionally misleading claims is strictly prohibited and will result in immediate termination of your account, forfeiture of pending disbursements, and referral to appropriate law enforcement authorities.
8. No Medical Advice
The Service is a billing and insurance verification tool. Nothing in the Service constitutes medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the healthcare provider.
9. No Guarantee of Payment
Tourist SOS facilitates the submission of claims to U.S. insurance payers. We do not guarantee that any claim will be paid, approved, or processed by any payer. Insurance coverage determinations, claim adjudication, and payment decisions are made solely by the insurance payers.
Eligibility verification results are informational and do not constitute a guarantee of coverage or payment. Coverage may change between the time of verification and the time of service.
10. Data and Confidentiality
You acknowledge that the Service processes protected health information (PHI) and personally identifiable information (PII) as necessary to verify insurance eligibility and submit claims. Our handling of such data is governed by our Privacy Policy and the HIPAA Business Associate Agreement executed between us.
11. Intellectual Property
The Service, including its software, design, documentation, and all related intellectual property, is owned by Tourist SOS, Inc. and protected by U.S. and international copyright, trademark, and patent laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your account. You retain ownership of all data you submit through the Service.
12. Prohibited Uses
You agree not to:
- Submit false, fraudulent, or misleading claims or information
- Use the Service for any unlawful purpose
- Attempt to access other users' accounts or data
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools to scrape or extract data from the Service
- Resell or redistribute access to the Service without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to transmit malware, viruses, or other harmful code
13. Account Suspension and Termination
We reserve the right to suspend or terminate your account immediately, without prior notice, if we reasonably believe that:
- You have violated these Terms or any applicable law
- Your account is being used for fraudulent activity
- You have submitted false or misleading claims
- Your payment method has failed and has not been updated within 14 days
- Your use of the Service poses a risk to other users or to Tourist SOS
You may terminate your account at any time by contacting us. Upon termination by either party, outstanding balances owed to you will be disbursed within 60 days, less applicable fees and any amounts owed to Tourist SOS.
14. Indemnification
You agree to indemnify, defend, and hold harmless Tourist SOS, Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) the inaccuracy of any information or claims you submit through the Service; or (e) your infringement of any third-party rights.
15. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOURIST SOS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TOURIST SOS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or the Service ("Dispute") shall be resolved through the following process:
Informal Resolution. Before initiating formal proceedings, you agree to contact us at legal@touristsos.com and attempt to resolve the Dispute informally for at least 30 days.
Binding Arbitration. If the Dispute is not resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English, by a single arbitrator, in Wilmington, Delaware or via video conference at the parties' mutual agreement.
Class Action Waiver. You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Exceptions. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or to address claims involving fraud.
17. Force Majeure
Tourist SOS shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or failures of third-party service providers (including insurance payers and clearinghouses).
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Subject to the arbitration provision above, any legal proceedings shall be brought exclusively in the state or federal courts located in Delaware.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with the Provider Service Agreement, HIPAA Business Associate Agreement, Privacy Policy, and any plan-specific terms, constitute the entire agreement between you and Tourist SOS regarding the Service and supersede all prior agreements, understandings, and communications.
21. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days notice via email or through the Service before the changes take effect.
Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and contact us to close your account.
